It's just that the whole affair looks a bit suspicious.
Personally, I don't think it's a rip off, but I can see why it is being debated, and why someone would think that.
- If you are to 'steal' something, it's usually something that has already proven it has a commercial value, and that's just not the case here.. so the motif is less than clear why Dark Horse would steal this in the first place.

2) even if plagarized, they would need to prove to a court financial loss.  The courts don't hand out demerits!

True.

Just to clarify my post, I mean that the likelyhood of this being an actual rip off kinda depends on wether there's a proven or obvious value associated with the concept already that would motivate such an action, and I dont see that.

No, they don't.  The successful party in a copyright infringement suit would be awarded DH's profits in the infringing book.  Only the copyright holder has a right to exploit the copyright.

to my point, the courts don't hand out demerits.
