To be honest, I just feel that some battles would result in a stalemate. This is one of them (much like Juggernaut VS Destroyer).

although impossible, I always thought it would be interesting if every character had a RPG character sheet that was the "be all end all" of their abilities, and when fights broke out, characters had an official person who played them and they really fought it out with a game master present that sets the scene and what each character knows. And then they had to do the comic with those results.
I know that would never happen, but would be fun.

Within a pouch of Batman's utility belt is an aspirator filled with tea tree oil. A short blast near Spider-man's sense organs will cause considerable disorientation of which the Batman will take advantage and further incapacitate his foe using his considerable skills. There are many such items within the utility belt which can only be used against a specific opponent.

I may well accept that, Steve.
I think a well-prepared Batman might be able to take down Spider-Man, but I remember the amount of times Spider-Man has fought overwhelming odds. It's a tough one.

Spider-Man is, I think, obviously the more "super," but Batman, I also think, clearly would be far superior in planning strategies and executing tactics. This would, I think, be decisively in Batman's favor. (Same as it would be in re Spider-Man versus Captain America -- I think.)

This how I see it if they squared off, no surprise attacks.
Batman would play it defensive. Thinking several moves ahead, countering and maneuvering Spidey to get a clear advantage. The webbing would be the hardest thing for Batman to overcome, but I think the 'ole Chessmaster would pull it off.

Spider-Man, imo, has the edge because he is stronger AND faster. Batman has lost to lessor foes albeit temporarily. With preparation, I agree Batman can beat just about anyone, but that's too much of a MacGuffin to think he is always prepared for everyone.

I agree with Robby. Batman needs a little prep time, if you believe he just travels around with web dissolvers and spider-sense blockers then you might as well assume he has a galactus-breaker in his boot at all times as well.

If Batman had to take down Spidey, he'd do so, because it has to be done. If Spidey had to beat Batman, he'd find himself in a Captain America-level confrontation against an opponent who's done this a thousand or more times. My guess is, the ol' Parker luck would work against him and he'd lose, because that's what happens to Spidey when he really needs a win. He doesn't get it, except at the very end, when he finally does pull it off and saves MJ or gets Aunt May's medicine to her. Say for instance Gwen's been kidnapped, and... okay, probably best not to bring that one up...
Even though Batman's been taken down by the likes of Tweedledee and Tweedledum and Spidey's fared poorly against the Gibbon and Leapfrog, they win in the end. Neither is unbeatable, and the head-to-head between them could go either way, circumstances permitting.
On the whole, I give the initial fight to Batman, and the second to no one, because theoretically both are smart enough to figure out that someone else is the enemy before they come to blows again.

In a straight up fight with no preparation/planning? Spidey. He's faster, stronger, more agile and has the added advantage of his spider sense. Batman would be lucky to land a hit on him.
